These Terms of Service ("Terms") are a legal agreement between you ("Customer") and Vantlogix Technologies ("Vantlogix") that governs your use of our services and products, including the SPOVIX software platform ("SPOVIX"). By accessing or using our services, you acknowledge that you have read, understood, and agreed to these Terms. If you do not agree, you must refrain from using the services.

1. Introduction

Vantlogix Technologies is a company specializing in providing digital excellence solutions to the sporting industry, including our flagship product, SPOVIX. These Terms outline the responsibilities, rights, and obligations of both Vantlogix and the Customer. If you are entering into these Terms on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Definitions

• "Vantlogix Technologies": The entity offering services, software, and solutions, including SPOVIX.

• "SPOVIX": A Software-as-a-Service (SaaS) platform designed for ancillary services sales and event management.

• "Customer": The individual or organization subscribing to or using SPOVIX.

• "End User": Individuals or entities interacting with SPOVIX through the Customer.

• "Services": Includes all offerings from Vantlogix, such as SPOVIX and associated solutions.

• "Content": Any data, information, or material provided, uploaded, or generated by the Customer or End Users within SPOVIX.

3. License and Use Rights

3.1 License Grant

Vantlogix grants the Customer a non-exclusive, non-transferable, and revocable license to access and use SPOVIX solely for the Customer’s internal business operations during the subscription term.

3.2 Use Restrictions

Customers may not:

• Modify, adapt, reverse-engineer, or decompile SPOVIX.

• Use the services to violate any laws, infringe on rights, or engage in unauthorized activities.

• Share access credentials or sublicense SPOVIX.

3.3 Trial or Beta Use

If provided on a trial or beta basis, SPOVIX is made available "as is," with no guarantees or warranties.

4. Ownership Rights

4.1 No IP Rights Transfer

Vantlogix retains full ownership of all intellectual property rights related to SPOVIX and its services. The Customer gains no ownership of the software or its components.

4.2 What Vantlogix Owns

The software, algorithms, methodologies, templates, branding, and other related intellectual property associated with SPOVIX and Vantlogix services.

4.3 What the Customer Owns

All content, data, and materials uploaded or provided by the Customer within SPOVIX remain the property of the Customer.

4.4 Packages and Components

Additional features or modules offered as part of SPOVIX subscriptions are owned by Vantlogix, even if custom-configured for the Customer.

4.5 Templates and Resources

Templates and resources provided within SPOVIX are licensed to the Customer for their specific use and remain the property of Vantlogix.

5. Customer’s Obligations to End Users

5.1 Introduction

The Customer is responsible for ensuring their End Users comply with these Terms and all applicable laws.

5.2 Applicable Laws

The Customer must ensure SPOVIX is used in compliance with all relevant local, national, and international laws, including data protection laws.

5.3 Security Towards End Users

The Customer must take reasonable measures to protect End User data from unauthorized access or misuse.

5.4 Security Notification

The Customer must promptly notify Vantlogix of any data breaches or security incidents involving End User information.

5.5 Privacy

The Customer must inform End Users about their privacy rights and obtain any required consents for processing their data within SPOVIX.

5.6 Privacy Rights

The Customer must ensure End Users can exercise their rights under applicable privacy laws, including data access, rectification, or deletion.

6. Security

Vantlogix employs industry-standard security measures to protect the integrity, confidentiality, and availability of SPOVIX. However, no system is completely secure. Customers are encouraged to implement their own security protocols, including access control and encryption. Customers must not attempt unauthorized access to systems or data managed by Vantlogix.

7. Confidentiality

Both parties agree to keep all proprietary, technical, and sensitive information confidential. Confidential information must not be shared with third parties without prior consent, except as required by law. This confidentiality obligation extends beyond the termination of these Terms.

8. Warranties and Disclaimers

8.1 Vantlogix Warranties

Vantlogix warrants that SPOVIX will operate substantially as described in its documentation.

8.2 Disclaimer of Implied Warranties

SPOVIX is provided "as is" and "as available." Vantlogix disclaims all implied warranties, including those of merchantability, fitness for a particular purpose, and non-infringement.

8.3 Customer Warranties

The Customer warrants that their use of SPOVIX will comply with all applicable laws and these Terms.

9. Limitations of Liability

9.1 Exclusions

Vantlogix is not liable for indirect, incidental, special, or consequential damages, including loss of profits, data, or business opportunities.

9.2 Cap on Liability

Vantlogix’s total liability under these Terms shall not exceed the total fees paid by the Customer for the services in the preceding 12 months.

9.3 Force Majeure

Vantlogix is not responsible for delays or failures caused by circumstances beyond its control, including acts of God, internet failures, or government actions.

10. General Provisions

Termination: Either party may terminate these Terms upon written notice if the other party breaches a material obligation and fails to remedy it within 30 days.

Governing Law: These Terms are governed by the laws of [Insert Jurisdiction].

Entire Agreement: These Terms, along with any signed agreements, constitute the entire understanding between the parties.
